Mandan area residents and energy workers are looking at a major change in local industrial ownership after Marathon Petroleum announced an agreement to sell its local oil refining facility alongside another plant in Minnesota. As KNOX News Radio, Local News, Weather and Sports reported, the multi-billion-dollar transaction transfers ownership of the Mandan facility to Texas-based buyer CVR Energy as part of a broader corporate realignment.

The overall deal carries a valuation of $4.2 billion and includes two separate processing plants previously held by Marathon. Alongside the facility situated in Mandan, North Dakota, CVR Energy is acquiring Marathon’s oil refinery located in St. Paul Park, Minnesota. The corporate transaction announced on Tuesday does not stop at the fence lines of the two refining complexes; the purchase agreement also encompasses Marathon’s integrated marketing channel. That network supplies refined petroleum products to as many as 590 branded commercial locations spread across the Upper Midwest and the Northern Great Plains regions.

Executing the transaction aligns with distinct operational goals for both energy firms involved in the trade. Marathon stated that its corporate strategy behind the sale involves shifting its primary business focus to alternative geographic regions across the United States. Specifically, Marathon intends to concentrate its ongoing operations and energy investments in Texas, along the Gulf Coast, and across the eastern United States.

On the purchasing side, CVR Energy leadership framed the acquisition as a major strategic expansion. Dane Neumann, the president and chief executive officer of CVR Energy, released a statement regarding the acquisition. Neumann stated that his company was thrilled to deliver on its plan to strategically grow and diversify its business operations. He noted that CVR Energy is acquiring two well-maintained and highly productive processing plants from Marathon. Neumann added that Marathon had served as an excellent steward of the high-quality industrial assets and expressed anticipation regarding welcoming the current workforce at the facilities into the CVR Energy organizational family.

While the deal involves significant assets across North Dakota and Minnesota, the St. Paul Park location brings a long operational history and substantial production capacity to the combined portfolio. Situated along the Mississippi River in the southeast Twin Cities suburb, the St. Paul Park facility dates its original origins back to 1939. Marathon held ownership of the St. Paul Park plant starting in 2018, which marked a second period of control after previously owning and subsequently selling the same site back in 2010. The Minnesota operation currently maintains a workforce of approximately 375 employees and operates with a daily refining capacity capable of processing 105,000 barrels of oil per day. That volume of raw crude is converted into a wide variety of finished fuels and materials, including standard gasoline, propane, industrial asphalt, and various other refined petroleum products.

Despite the formal announcement from both corporate boards on Tuesday, the transfer of ownership remains subject to standard regulatory procedures. If the transaction successfully clears the necessary regulatory hurdles, the companies expect the deal to officially close by the end of the current year. Local workers, commercial fuel suppliers, and regional distributors across Burleigh and Morton counties will be watching the regulatory timeline as ownership transitions from Marathon to CVR Energy.
